1. Agreement to these terms
These Terms of Service are a binding agreement between you and Orthographik LLC, the company that operates Priscale (the "service"). By creating an account or using the service, you accept these terms and our Privacy Policy. If you do not agree, do not use the service.
If you use the service on behalf of a business, you accept these terms for that business and represent that you have the authority to do so. In that case, "you" refers to both you and that business.
2. Eligibility
You must be at least 18 years old to use the service. The service is intended for business use and is not directed at children.
3. Your account
You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.
You may sign in with a social account (Google or GitHub). Your use of those providers is governed by their own terms, and you are responsible for maintaining access to the account you sign in with.
4. Subscriptions, billing, and refunds
Paid plans are billed in advance on a recurring basis. Pricing and billing cycles are presented at checkout. Payments are processed by Stripe; we never store your full card details on our servers.
You may cancel your subscription at any time. When you cancel, your access continues until the end of the period you already paid for. Payments are non-refundable except where the law requires otherwise.
We may change our prices. Price changes are announced in advance and take effect at the start of your next billing period. You are responsible for any taxes that apply to your purchase, other than taxes on our income.
5. Your data
You own the data you enter into the service, such as your services, products, estimates, customers, expenses, and employees. You grant us a limited license to host, process, back up, and display that data solely as needed to provide the service to you.
You are responsible for the data you enter, including having the right to use any personal information about your own customers and employees, and for using that data in compliance with applicable law.
6. Acceptable use
You agree to use the service only for lawful purposes. In particular, you agree not to:
- interfere with or disrupt the service, or attempt to access it by any means other than the interfaces we provide;
- probe, scan, or test the vulnerability of the service, or attempt to access accounts or data that are not yours;
- upload malicious code or content that is unlawful or infringes the rights of others;
- copy, resell, or sublicense the service, or reverse engineer it except where the law permits;
- use automated means to scrape or bulk-extract data from the service.
7. Our intellectual property
The service, including its software, design, and trademarks, belongs to Orthographik LLC or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the service while your account is in good standing. If you send us feedback or suggestions, we may use them without obligation to you.
8. Pricing results are not professional advice
The service helps you calculate costs, prices, and estimates from the information you enter. Those results are informational tools, not financial, accounting, tax, or legal advice. Business decisions you make based on them are your own responsibility.
9. Third-party services
The service relies on third-party providers, such as Stripe for payments, Mapbox for maps and geocoding, and the social sign-in providers you choose to use. Those services are governed by their own terms, and we are not responsible for them.
10. Termination
You may stop using the service or delete your account at any time. We may suspend or terminate your access if you breach these terms, giving you notice where practicable. Sections of these terms that by their nature should survive termination, such as ownership, disclaimers, and limitations of liability, will survive.
11. Disclaimer of warranties
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.
12. Limitation of liability
To the maximum extent permitted by law, Orthographik LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims relating to the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold Orthographik LLC harmless from claims arising out of the data you enter into the service or your use of the service in violation of these terms or applicable law.
14. Governing law and venue
These terms are governed by the laws of the State of Indiana, United States, without regard to its conflict of law rules. Any dispute relating to these terms or the service will be resolved in the state or federal courts located in Indiana, and you consent to their jurisdiction.
15. Changes to these terms
We may update these terms from time to time. When we make material changes, we will notify you, for example by email or a notice in the service, and update the date at the top of this page. Continued use of the service after changes take effect constitutes acceptance of the revised terms.
16. Miscellaneous
These terms, together with the Privacy Policy, are the entire agreement between you and us regarding the service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them to an affiliate or successor.
